2. Client Responsibilities

2.1. Project Information

• Provide clear, accurate project requirements and objectives

• Supply necessary content, assets, and access credentials promptly

• Review and approve work within agreed timelines

• Confirm you have the legal rights to all materials provided

2.2. Communication & Approvals

• Assign a point of contact for all project communication

• Respond to feedback requests within a reasonable timeframe

• Delays in response may impact delivery timelines

3. Our Commitments

3.1. Service Delivery

• Deliver work that meets the scope, timeline, and quality standards outlined in our agreement

• Maintain professional communication throughout the engagement

• Protect your confidential information and data

3.2. Revisions

• Provide a set number of revisions as outlined in the project scope

• Additional revisions or changes beyond scope may incur extra fees

4. Intellectual Property

4.1. Client Content

• You retain full ownership of content, logos, and assets you supply

4.2. Final Deliverables

• Ownership of final deliverables is transferred upon full payment

• Agencor retains the right to showcase completed work in our portfolio, unless otherwise agreed

4.3. Third-Party Materials

• Use of third-party assets (fonts, stock photos, plugins) may require separate licenses

• We’ll inform you of any such requirements before implementation

5. Payment Terms

5.1. Invoicing

• Payment terms are defined in each project agreement

• Invoices are due within 15 days unless otherwise stated

• Late payments may result in paused work or added interest charges

5.2. Refunds

• Refunds are not typically offered for services rendered

• In rare cases, partial refunds may be issued based on project stage and circumstances

6. Timelines & Delays

6.1. Estimated Delivery

• Timelines are estimated and based on mutual responsiveness

• Delays caused by scope changes or late approvals may shift deadlines

6.2. Paused Projects

• Projects may be paused if delayed beyond 30 days by the client without communication

• A reactivation fee may apply to resume work after long gaps

7. Limitation of Liability

Agencor is not liable for:

• Any indirect or incidental damages

• Loss of revenue or business due to project delays

• Technical issues caused by third-party platforms, plugins, or tools

• Outcomes beyond our control once a project is handed off

Our maximum liability is limited to the total amount paid for the services.

8. Termination

Either party may terminate the engagement with written notice. Upon termination:

• Payment is due for all work completed to date

• Source files or work-in-progress may be shared at our discretion

• Confidentiality clauses remain in effect

9. Confidentiality

We respect and protect the confidentiality of your business and materials. Likewise, we request clients not disclose Agencor’s internal processes, tools, or proprietary techniques without consent.

Changes to Terms

Agencor may update these terms occasionally. Continued use of our services implies acceptance of the latest version.
